Need To Know Business Law Issues

Get lawyer help now for many of the following injury issues.

In certain situations, courts have permitted plaintiffs to pursue the possessions of the company’s owners to fulfill a judgment against the business. This defeats the personal liability defense that business owners naturally take advantage of when the business has met its legal requirements.

Some situations in which the courts may permit the plaintiff to “pierce” the defendant’s “corporate veil” include, fraud or intermingling of a business owner’s and company funds, failure to meet legal business regulations, acts in which the business can be no longer be looked as a another entity but is instead acting as the owner’s “alter ego,” and in some cases, undercapitalization.

Merger and Acquisition

In today’s corporate world, mergers and acquisitions happen frequently. A lot of mergers and acquisitions receive a great deal of media coverage, while some go relatively unnoticed. These business marriages can be worth hundreds of millions or even billions of dollars and can determine the future of these businesses for many years to come. Business law attorneys are an essential part of this process. Experienced lawyers sort out all the legal details to help make these important transitions run as smoothly as possible.

Did you know?
Often, the terms merger and acquisition are used simultaneously, but the two terms do have slightly different meanings that stand apart from each other.

A merger is the combination of two or more businesses to form a bigger one. Normally, it is a mutual decision between the businesses involved. An acquisition, on the other hand, happens when one business buys a majority interest in another, and therefore “acquires” the other company. Acquisitions can be hostile and difficult, or simple and friendly, depending upon whether or not the businesses are in agreement over the transaction.
